1. Introduction

These Terms of Service (“Terms”) govern your access to and use of Layar (the “Platform”), operated by AMcC Group Ltd (“we”, “us”, “our”).

By accessing or using Layar, you agree to be bound by these Terms.

2. Nature of the Service

Layar is a personal AI memory platform that enables users to upload, structure, query, and export information for use with artificial intelligence systems.

The Platform is provided on an “as is” and “as available” basis and may evolve over time.

3. Eligibility

You must:

  • Be at least 18 years old
  • Have the legal capacity to enter into binding agreements
  • Use the Platform in compliance with applicable laws

4. Accounts and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity under your account
  • Ensuring your data is lawful and appropriate

We are not liable for unauthorised access resulting from your failure to secure your account.

5. User Content and Ownership

You retain full ownership of all content you upload (“User Content”).

By using the Platform, you grant us a limited, non-exclusive, worldwide licence to:

  • Process your content
  • Store and retrieve it
  • Generate outputs based on it

This licence exists solely to operate and improve the Platform.

6. Data Processing and AI Usage

6.1 Role of AMcC Group Ltd

  • You are the Data Controller
  • We act as a Data Processor

6.2 AI Processing

Your content may be processed by:

  • Third-party AI providers (e.g. OpenAI or similar)
  • Internal processing systems

We take reasonable steps to:

  • Limit data exposure
  • Use secure transmission
  • Avoid training external models on your data where possible

However, you acknowledge that:

  • AI outputs may be imperfect, incomplete, or incorrect
  • The Platform does not provide professional, legal, or financial advice

7. Acceptable Use

You agree not to:

  • Upload unlawful, harmful, or infringing content
  • Attempt to reverse-engineer or exploit the Platform
  • Interfere with system integrity or security
  • Use the Platform for high-risk or regulated decision-making

We reserve the right to suspend accounts for misuse.

8. Availability and Changes

We may:

  • Modify or discontinue features
  • Introduce usage limits
  • Change pricing in the future

We do not guarantee uninterrupted or error-free operation.

9. Fees and Pricing

During beta, the Platform may be provided free of charge.

We reserve the right to introduce paid plans at any time. Continued use may require subscription or usage-based fees.

10. Termination

We may suspend or terminate access:

  • For breach of these Terms
  • For security or operational reasons
  • At our discretion during beta

You may stop using the Platform at any time.

11. Intellectual Property

All Platform technology, branding, and design remain the property of AMcC Group Ltd.

You may not:

  • Copy, reproduce, or distribute Platform elements
  • Use Layar branding without permission

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for loss of data, profits, or business interruption

Total liability is limited to the amount paid by you (if any) in the preceding 12 months.

13. Indemnity

You agree to indemnify and hold harmless AMcC Group Ltd against any claims arising from:

  • Your use of the Platform
  • Your content
  • Your breach of these Terms

14. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
